Welcome to Monovalley ("Monovalley," "we," "us," or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Monovalley regarding your access to and use of www.monovalley.co and any related domains, mobile experiences, community surveys, inquiry forms, and associated digital services (collectively, the "Services").
Please read these Terms carefully before using the Services. By accessing, browsing, submitting information to, or otherwise utilizing the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must immediately discontinue use of the Services.
2. Nature of the Monovalley Project
Monovalley is an independent, privately funded conceptual transit initiative.
Monovalley is an independent, private transit initiative dedicated to researching, designing, and proposing a privately funded, elevated electric monorail transit network within Scottsdale, Arizona and the greater Phoenix metropolitan area.
Unless explicitly stated otherwise in writing, Monovalley is not a municipal agency, public transit district, department of the City of Scottsdale, or affiliate of the Regional Public Transportation Authority (Valley Metro). All routes, alignments, station concepts, technological specifications, speed profiles, and project timelines displayed on the Services are exploratory proposals subject to ongoing engineering studies, environmental reviews, zoning authorizations, right-of-way franchise agreements, and municipal approvals.
Civic & Exploratory Initiative
Monovalley presents private infrastructure concepts for community dialogue, transit advocacy, and municipal consideration. No municipal contract or franchise has been finalized unless announced officially.
3. Survey Submissions, Feedback & Intellectual Property License
Full license grant to Monovalley for community survey input, route suggestions, and ideas.
A core element of the Services is our Community Survey and public engagement mechanisms, which solicit resident, business, and commuter feedback on transit preferences, corridor priorities, station access, and service frequency.
License Grant: By submitting any response, text, route concept, suggestion, proposal, enhancement request, review, or other material through our Community Survey, contact forms, or email channels (collectively, "Submissions"), you hereby grant Monovalley an unconditional, perpetual, irrevocable, worldwide, royalty-free, fully paid-up, transferable, and sublicensable right and license to use, reproduce, modify, adapt, publish, translate, aggregate, create derivative works from, distribute, publicly perform, and publicly display such Submissions in any medium now known or hereafter developed.
Non-Confidentiality: You acknowledge and agree that Submissions are non-confidential and non-proprietary. Monovalley shall be under no obligation of confidentiality, express or implied, with respect to any Submission, and Monovalley shall be entitled to unrestricted use and dissemination of Submissions for any purpose whatsoever—including transit route optimization, municipal feasibility filings, civic presentations to the Scottsdale City Council, and marketing—without acknowledgment or compensation to you.
Representations: You represent and warrant that you own or otherwise control all necessary rights to your Submissions, that your Submissions are truthful and accurate to the best of your knowledge, and that your Submissions do not infringe, misappropriate, or violate any patent, copyright, trademark, trade secret, or other intellectual property or proprietary rights of any third party.
How We Protect and Use Survey Feedback
Your survey feedback directly informs route feasibility and civic advocacy. While we obtain full rights to aggregate and analyze the ideas, individual respondents remain anonymous in public reports.
4. Monovalley Intellectual Property
All trademarks, transit route maps, station designs, and site content remain exclusive Monovalley property.
All content and materials accessible through the Services—including text, graphics, logos, button icons, images, station renderings, transit line maps, 3D models, architectural diagrams, video clips, data compilations, software code, and the overall look and feel—are the exclusive property of Monovalley, its founders, or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
The name "Monovalley," the Monovalley multi-line transit emblem, and all related logos, slogans, and product and service names are trademarks of Monovalley. You may not use such marks without prior written permission. You may view, download, and print individual pages for personal, non-commercial use only, provided you retain all copyright and proprietary notices.
5. Acceptable Use and Prohibited Conduct
Rules prohibiting survey manipulation, bot scripting, scraping, or interference.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You specifically agree not to:
Deploy automated scripts, bots, spiders, scrapers, or software to extract data, artificially inflate survey responses, manipulate survey analytics, or bypass verification mechanisms (such as captcha puzzles);
Submit false, fabricated, deceptive, or deliberately misleading information in Community Surveys or contact forms;
Introduce viruses, trojans, worms, logic bombs, or other malicious or technologically harmful materials;
Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are hosted, or any database connected to the Services;
Engage in any conduct that restricts, inhibits, or impairs any other user from enjoying the Services, or which exposes Monovalley to any liability or reputational harm.
Integrity of Community Data
Automated survey submission or deliberate ballot-stuffing compromises civic planning. We actively monitor submission signatures and will block or purge fraudulent records.
6. Disclaimer of Warranties
Services and conceptual transit data are provided "as is" without warranty.
THE SERVICES, INCLUDING ALL CONTENT, TRANSIT MAPS, STATION ESTIMATES, SCHEDULES, SURVEYS, AND MATERIALS, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, MONOVALLEY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.
MONOVALLEY MAKES NO REPRESENTATION OR WARRANTY THAT (A) THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, (B) THE INFORMATION PRESENTED WILL BE COMPLETE OR CURRENT AT ALL TIMES, OR (C) THAT ANY PROPOSED TRANSIT ROUTE, STATION, CONSTRUCTION MILESTONE, OR FARE STRUCTURE WILL ULTIMATELY BE CONSTRUCTED OR IMPLEMENTED IN ACCORDANCE WITH CONCEPTUAL RENDERINGS.
7. Limitation of Liability
Liability is strictly capped to the fullest extent permitted by law.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MONOVALLEY, ITS FOUNDERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, ADVISORS, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES OR RELIANCE UPON ANY CONCEPTUAL TRANSIT INFORMATION.
IN NO EVENT SHALL MONOVALLEY’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD) OR THE AMOUNT YOU PAID TO MONOVALLEY IN THE PAST TWELVE (12) MONTHS, WHICHEVER IS LESS.
8. Indemnification
Protection of Monovalley against claims arising from user breach or submission content.
You agree to defend, indemnify, and hold harmless Monovalley, its founders, affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms, your misuse of the Services, or any Submissions provided by you.
9. Governing Law, Jurisdiction & Dispute Resolution
Governed by Arizona law with mandatory arbitration and class action waiver.
Governing Law: These Terms and any dispute or claim arising out of or related to them shall be governed by and construed in accordance with the internal laws of the State of Arizona, without giving effect to any choice or conflict of law provision or rule.
Informal Resolution: In the event of any controversy, claim, or dispute, the parties agree to first attempt in good faith to resolve the matter informally by contacting legal@monovalley.co for a minimum period of thirty (30) days.
Arbitration: If informal resolution is unsuccessful, any dispute shall be resolved through binding individual arbitration administered in Phoenix or Scottsdale, Arizona, under the Commercial Arbitration Rules of the American Arbitration Association (AAA).
Class Action Waiver: YOU AND MONOVALLEY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
